Terms of Service

1. Acceptance

By accessing this website or engaging Webbae for services, you agree to be bound by these Terms of Service. If you do not agree, do not use this site or engage our services.

2. Services

Webbae (operated by Azizi Technologies) provides digital marketing, SEO, web development, content creation, Google Ads management, and related services. The scope, deliverables, timeline, and pricing of each engagement are defined in a separate project agreement or proposal accepted by both parties.

3. Payment

• All invoices are due within 14 days of issue.
• Overdue invoices attract a late fee of 1.5% per month after 30 days.
• Default currency is USD. Other currencies by agreement.
• A 50% deposit is required before project work commences on fixed-price projects.
• No refunds are issued for work already completed and delivered, including partial months of retainer services.

4. Intellectual Property

• Upon receipt of full payment, the client owns all final deliverables (designs, code, copy) produced specifically for their project.
• Webbae retains the right to display completed work in its portfolio and marketing materials, unless the client requests otherwise in writing.
• All internal tools, methodologies, templates, and frameworks used by Webbae remain the exclusive IP of Azizi Technologies.
• Third-party assets (stock images, fonts, plugins) remain subject to their respective licences.

5. Confidentiality

Both parties agree to keep confidential any non-public business information received during the engagement. This obligation survives termination of the project for a period of 2 years.

6. Warranties and Liability

Digital marketing and SEO services are delivered professionally and in good faith, but search engine rankings are determined by third-party algorithms outside our control. Webbae makes no guarantee of specific ranking positions or traffic volumes.

To the maximum extent permitted by law, Webbae's total liability for any claim arising from an engagement is capped at the fees paid by the client in the 3 months preceding the claim. We are not liable for indirect, consequential, or lost-profit damages.

7. 90-Day Performance Guarantee

Webbae offers a 90-day performance guarantee on its core SEO and Local SEO retainer services: if measurable progress toward agreed KPIs is not achieved within 90 days, the client receives one additional month of service at no charge.

This guarantee does not apply where the client has not completed onboarding requirements (access, content approvals), has made changes that negatively affect the campaign, or is in breach of these Terms.

8. Termination

• Either party may terminate an ongoing retainer with 14 days written notice via email.
• Work in progress at termination is billed pro-rata at the monthly rate.
• The client retains all completed and fully paid deliverables.
• Webbae may terminate immediately in the event of non-payment or breach of these Terms.

9. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Both parties agree to attempt resolution of any dispute through good-faith negotiation first. If unresolved within 30 days, disputes will be referred to arbitration in Dubai.

10. Changes to These Terms

We may update these Terms at any time. The effective date at the top of this page reflects the most recent revision. Continued engagement of Webbae's services after an update constitutes acceptance.
